Important Notice

These Terms and Conditions form a legally binding contract between Kutoot Innovations Private Limited and you. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must immediately cease all use of the Platform.

Welcome to Kutoot Innovations Private Limited (“Kutoot”, “we”, “our”, or “us”).

These Terms govern your access to and use of:

  • www.kutoot.com
  • Kutoot mobile applications
  • QR-based in-store payment services
  • Merchant promotional campaigns and reward systems

(collectively, the “Platform”).

Kutoot operates as a technology-enabled merchant promotion and customer engagement platform, facilitating local commerce through digital incentives, transaction enablement, and promotional campaigns.

By accessing or using the Platform, you agree to be bound by these Terms.

For the purposes of these Terms, the following terms shall have the meanings assigned below:

  • “Platform” means Kutoot’s website, mobile applications, QR systems, backend infrastructure, and all related services.
  • “User” means any individual accessing or using the Platform.
  • “Merchant” means any business entity listed on Kutoot offering goods or services to Users.
  • “Transaction” means a completed payment made by a User through Kutoot-enabled flow.
  • “PSP” (Payment Service Provider) means any RBI-authorised payment aggregator, UPI provider, or banking partner facilitating payments.
  • “Campaign” means any promotional activity, offer, or marketing initiative conducted on the Platform.
  • “Stamp” or “Reward” means a promotional benefit issued by Kutoot to Users as part of Campaigns, having no monetary value.

Kutoot provides the following services:

(a) Merchant Discovery & Engagement
Users can discover and interact with local merchants offering promotions.

(b) QR-Based Transaction Facilitation
Users may visit physical stores and pay bills through Kutoot-enabled in-app flows integrated with authorised payment systems.

(c) Promotional Campaigns & Rewards
Kutoot may issue promotional stamps or reward entries as part of marketing campaigns.
These rewards:

  • Are issued free of cost
  • Carry no monetary value
  • Are not tradeable or redeemable for cash

(d) Platform Role
Kutoot acts solely as a facilitator and does not sell goods or services unless explicitly stated.

You must:

  • Be at least 18 years old
  • Be legally capable of entering into a contract
  • Use the Platform in compliance with applicable laws

Kutoot may restrict access in certain jurisdictions where required by law.

Users must register using valid credentials.

You agree to:

  • Provide accurate information
  • Maintain account security
  • Not create multiple or fraudulent accounts

Kutoot may suspend or terminate accounts for violations.

  • Payments are processed via RBI-authorised PSPs
  • Kutoot does not store card or banking data
  • Kutoot does not operate as a bank or wallet
  • Transactions once confirmed are final unless refunded by the merchant

Merchants are independent entities responsible for:

  • Product/service quality
  • Pricing and billing
  • Customer support and refunds

Kutoot does not guarantee merchant performance.

Kutoot may offer campaigns where users receive stamps or rewards.

These:

  • Are free promotional incentives
  • Have no cash value
  • Are subject to campaign rules
  • Expire automatically

Kutoot may:

  • Modify campaigns
  • Disqualify misuse
  • Set limits and conditions

Where applicable:

  • Rewards may be subject to Indian tax laws
  • Users may be required to provide KYC details
  • TDS provisions may apply as per law

Kutoot is not responsible for user tax obligations.

Kutoot may offer referral or engagement programs.

Users must not:

  • Use automation
  • Create fake referrals
  • Manipulate systems

Violation may lead to termination and forfeiture.

Your data is processed in accordance with the Privacy Policy.

Kutoot complies with:

  • Digital Personal Data Protection Act, 2023

All Platform content belongs to Kutoot.

Users are granted limited usage rights only.

Users shall not:

  • Conduct fake transactions
  • Exploit campaigns
  • Engage in fraud
  • Interfere with Platform systems

Kutoot may take legal action for violations.

Kutoot reserves the right to:

  • Verify transactions
  • Audit activity
  • Suspend suspicious accounts

The Platform and all services are provided on an “AS IS” and “AS AVAILABLE” basis.

Kutoot expressly disclaims all warranties, whether express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy or reliability of content
  • Continuous or uninterrupted availability

Kutoot does not guarantee:

  • Availability of offers or campaigns
  • Specific savings, rewards, or outcomes
  • Merchant performance or service quality

Users acknowledge that use of the Platform is at their own risk.

Kutoot is not liable for:

  • Indirect damages
  • Loss of profits
  • Merchant-related issues

Liability is limited to fees paid in last 3 months.

Users agree to indemnify Kutoot against:

  • Misuse
  • Fraud
  • Legal violations

Kutoot may suspend or terminate access for:

  • Fraud
  • Policy violations
  • Legal requirements

Kutoot is not liable for events beyond control.

Disputes shall be resolved via arbitration in Bengaluru under Indian law.

Kutoot may update Terms at any time.

Kutoot shall:

  • Acknowledge complaints within 48 hours
  • Resolve grievances within 30 days from receipt

Users may contact the Grievance Officer for any concerns related to:

  • Platform usage
  • Data privacy
  • Transactions or complaints

Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver
Failure by Kutoot to enforce any provision shall not constitute a waiver of that provision or any other rights.

Entire Agreement
These Terms, along with the Privacy Policy and any applicable policies, constitute the entire agreement between the User and Kutoot and supersede all prior understandings.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, and courts located in Bengaluru, Karnataka shall have jurisdiction, subject to arbitration provisions.
